is having them factory OC + the intel OC protection plan worth paying an extra $50. or should I just run everything stock?

if i go with the i7 4790k quad 4.0ghz to 4.4ghz and if i go with the i7 5820k hex 3.5ghz to 3.9ghz.

I am leaning toward the Z97 4790k quad instead of the X99 5820k hex. i have read a lot of reviews that say the 4790k quad is actually better for gaming. and that the 5820k hex is better if you are doing video editing etc(which I don't).

but the Z97 is ddr3 and the X99 is ddr4??

the price difference between the 2 rigs is around $250

both will have the GTX 980 GPU

Also,, will I be able to play my old 32bit games on my new 64bit rig? Tribes, Batman arkham city, Dishounored etc?

I don't typically overclock my PCs, I do however own a cpu, and gpu that is factory OCed, I wouldn't pay for the insurance if its a factory OC. I really don't think with either cpu you would even want to overlock. In regards to 32 bit games, they will run fine. I can still run tribes 1, and tribes 2 on my pc, 64 bit processors are backwards compatible. You may find super super old games may not work, but it is more likely because of an incompatibility with Windows Vista, 7, 8, 8.1 but none of the games you listed will run into any problems.
